The short version: Use Napkin Plan for lawful purposes. Your content belongs to you. Free plan has storage limits. Pro plans are billed monthly or annually. Cancel any time. We're not responsible for decisions you make based on your floor plans.
By accessing or using Napkin Plan ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Napkin Plan LLC, a Wyoming limited liability company ("Napkin Plan," "we," "us," or "our").
Napkin Plan is a web-based floor planning tool that allows users to upload floor plan images, arrange furniture, measure spaces, and plan room layouts. The Service is offered in both a free tier and paid Pro tier.
To use Napkin Plan, you must sign in using Google or Apple. By signing in, you represent that:
We reserve the right to suspend or terminate accounts that violate these Terms.
Free Plan: Includes a limited number of floor plans and standard furniture items. Free features may change over time with reasonable notice.
Pro Plan: Paid subscription with additional floor plans, priority support, and future Pro features. Pro subscriptions are billed monthly or annually via Stripe. By subscribing, you authorize recurring charges to your payment method.
Purchases made through the Apple App Store: If you subscribe inside our iPhone or iPad app, Apple is the seller of record for that transaction and it is also subject to Apple's terms. Manage or cancel those subscriptions in your Apple account settings, and request refunds for them from Apple.
Cancellation: You may cancel your Pro subscription at any time. Cancellation takes effect at the end of the current billing period; you retain Pro access until then. We do not provide refunds for partial billing periods.
Price changes: We will give at least 30 days' notice before increasing subscription prices, with the option to cancel before the new price takes effect.
You retain full ownership of all content you upload or create using Napkin Plan, including floor plan images, room drawings, and furniture layouts ("Your Content").
By using the Service, you grant Napkin Plan a limited, non-exclusive license to store, display, and process Your Content solely to provide the Service to you. We do not use Your Content for advertising, training AI models, or any purpose unrelated to operating the Service.
You are responsible for ensuring you have the right to upload any images or other content you provide.

All software, design, trademarks, and other intellectual property belonging to Napkin Plan remain our exclusive property. Nothing in these Terms grants you any rights to our intellectual property other than the right to use the Service as described herein.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Floor plan measurements and furniture dimensions are provided for planning purposes only. Napkin Plan is not responsible for construction, purchasing, or moving decisions made based on your floor plans. Always verify measurements independently before making significant decisions.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of the exclusion above may not apply to you. In that case, any implied warranty is limited to the shortest period permitted by the law of your jurisdiction. Nothing in these Terms limits rights you have under consumer protection law that cannot be waived by agreement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPKIN PLAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $10 IF YOU ARE ON THE FREE PLAN).
These limits apply regardless of the legal theory the claim is based on, and survive termination of your account.
What these limits do not cover. Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, for death or personal injury caused by our negligence, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the exclusion above may not apply to you.
You agree to indemnify and hold harmless Napkin Plan LLC and its officers, directors, employees and agents from any third-party claim, damage, or expense (including reasonable legal fees) arising from Your Content, your violation of these Terms, or your violation of any law or third-party right.
This obligation does not apply to the extent a claim arises from our own negligence, willful misconduct, or breach of these Terms.
If we seek indemnification we will notify you of the claim promptly, give you the opportunity to control its defense with counsel of your choosing, and cooperate with you at your expense. You may not settle a claim in a way that imposes any obligation or admission on us without our prior written consent, which we will not unreasonably withhold.
We strive for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Service with reasonable notice. We will provide at least 30 days' notice before discontinuing the Service entirely, and will give Pro subscribers a prorated refund for any prepaid period.
You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation. Upon termination, your right to use the Service ends immediately.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming, and you consent to personal jurisdiction there.
We may update these Terms from time to time. We will notify you of material changes by email or via a notice in the app at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force. In particular, if a limitation in sections 8 or 9 is held unenforceable in your jurisdiction, the remaining limitations still apply.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, corporate reorganisation, or sale of substantially all our assets, provided the successor agrees to be bound by these Terms. We will tell you if that happens.
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Napkin Plan LLC about the Service, and replace any earlier understanding. Purchases made through the Apple App Store are additionally subject to Apple's terms.
No waiver. If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later.
Survival. Sections 5 (Your Content), 7 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 13 (Governing Law) and this section survive termination of your account.
